Paul A. Mitchell is a partner in the Corporate and Securities and Renewable Energy Practice Teams at Lippes Mathias in Buffalo.
 
Throughout Mr. Mitchell’s legal career, he has focused on mergers and acquisitions, private equity and venture capital investments, fund formations, complex corporate transactions and technology licensing. He assists private equity firms with investments in young technology companies, including the negotiation and preparation of stock purchase agreements, certificates of incorporation, shareholders agreements and voting rights agreements. 
 
Mr. Mitchell’s renewable energy practice includes serving as corporate and merger and acquisition counsel to project sponsors and developers in the purchase, sale and development of solar energy projects. In these roles, Mr. Mitchell advises on commercial and structuring issues, and drafts and negotiates Membership Interest Purchase Agreements (MIPAs), solar installation /Energy Procurement and Construction (EPC) agreements, and other ancillary agreements associated with the purchase, sale or financing of renewable energy projects.  

When working with entrepreneurs and start-up companies, Mr. Mitchell uses his extensive business background, which includes being the President of a small service company, the Assistant General Counsel for a public children’s toy manufacturer and General Counsel for a technology start-up that raised $90 million in venture capital and debt financing, to advise and assist with capital raising and growing company issues.

In his mergers and acquisition practice, Mr. Mitchell counsels many serial entrepreneurs. He has overseen a broad range of transactions, from the purchase of a small consignment store to a $580 million transaction involving the sale of a private family business to a public company.

Mr. Mitchell also counsels real estate developers in forming partnerships or limited liability companies and negotiating private equity investments and real estate development and management agreements. He also advises property owners on entity structuring for bankruptcy remoteness in connection with commercial mortgage-backed securities (CMBS) loans.

Additionally, Mr. Mitchell has extensive U.S. and international experience in software and technology in-licensing and out-licensing.
