John J. Koeppel, partner and private equity and independent sponsor practice team leader at Lippes Mathias LLP, will lead an executive exchange at iGlobal Forum's Independent Sponsor Summit Dallas on June 11 in Dallas, Texas. 

Koeppel's session, "Everything's Bigger in Texas — Including Deal Structures," will examine rollover equity, seller financing, and earnout trends shaping independent sponsor transactions across the Texas lower middle market. The small-group format is designed to facilitate peer discussion and practical problem-solving on current deal structure challenges. 

The Independent Sponsor Summit Dallas convenes independent sponsors, capital providers, family offices, lenders, operators, and founders active in the Texas lower middle market. Summit programming focuses on sourcing, capital structures, partnership models, and post-close execution across sectors including industrial and field services, business services, healthcare services, energy-adjacent industries, and niche manufacturing. 

About John J. Koeppel 

John J. Koeppel is a partner, serves as the team leader of the firm's private equity and independent sponsor practices, and serves as a member of the firm's executive committee. Koeppel is a corporate lawyer who has structured, negotiated, and closed more than 250 transactions over the past 25-plus years, encompassing mergers and acquisitions, fund formations and investments, and private equity transactions including co-investments, venture financings, and cross-border deals. He also works with clients on reviewing and structuring Qualified Opportunity Zone and Qualified Small Business Stock investments. 

Koeppel acts as counsel to funds, independent sponsors, middle market companies, institutional investors, family offices, and high net worth investors focused on buyout, growth, venture, real estate, intellectual property, energy, debt, fund-of-funds, co-investments, secondaries, and other strategies. He also frequently acts as U.S. counsel to non-U.S. clients on U.S. acquisition and private investment transactions, and serves as a director for several private equity-backed companies. 

On the M&A and private equity side, Koeppel has advised on deals ranging from $5 million to more than $250 million across industries including manufacturing, technology, consumer goods, food, distribution, business services, cleantech, and medical and health care. He is a frequent speaker at private equity, independent sponsor, and M&A events. Prior to joining Lippes Mathias, Koeppel was a partner in the private equity and investment funds group of an AmLaw 100 firm.
