Members of Lippes Mathias’s team, including John J. Koeppel, Sean P. Balkin, and Caroline R. Vilardo advised Breakaway Partners in the transaction. 

John J. Koeppel, a Partner and the Team Leader of the firm’s Private Equity Practice, is a corporate lawyer who has successfully structured, negotiated and closed over 250 transactions in the past two decades, which typically involve mergers and acquisitions, fund formations and investments, and various private equity transactions (including co-investments, venture financings and cross-border deals). He also works with clients on reviewing / structuring their Qualified Opportunity Zone and Qualified Small Business Stock investments. 

Sean P. Balkin, a Senior Associate in Lippes Mathias’s Corporate and Securities practice group, focuses his practice in the areas of private equity, mergers and acquisitions, investment funds and general corporate matters. Sean’s experience includes advising clients on all aspects of middle market acquisitions and dispositions, venture capital investments, corporate structuring, and intellectual property licensing matters. Prior to joining the firm as an attorney, Sean participated in the firm’s summer associate program and served as an in-house law clerk for a large natural gas corporation. 

Caroline R. Vilardo focuses her practice on general corporate matters as well as mergers and acquisitions.  She was a member of the firm’s summer associate program in 2019.
