Ryan V. Stearns

Ryan Stearns focuses his practice on complex commercial real estate and private equity transactions. He represents public REITs, private equity sponsors, institutional investors, and owner-operators in acquisitions and dispositions, joint ventures, developments, leasing and ground leasing transactions, and secured and unsecured financings across multiple asset classes. He also advises clients on mergers and acquisitions and related transactional matters, with particular experience integrating real estate and corporate components within sophisticated investment platforms and sponsor-driven structures. 

 

Ryan has significant experience advising cannabis companies, multi-state operators, and investors on complex transactional matters, including private equity transactions, platform-level structuring, real estate strategy, and regulatory compliance considerations integral to the operation and expansion of cannabis businesses. He serves as Team Leader of the Firm’s Cannabis Practice Team and was named to the National Law Journal’s 2022 Cannabis Law Trailblazers List.
