Bio
Michael Gionta is a member of the firm’s Corporate Practice Team where he focuses his practice on mergers and acquisitions, divestitures, joint ventures, strategic investments, and corporate governance. Drawing on both legal and entrepreneurial experience, Michael provides practical, business-focused counsel to companies at every stage of growth.
Michael advises both public and private companies, investors, founders, and strategic buyers in complex transactions across numerous private equity and independent sponsor industries, including food and beverage, healthcare, human capital management, technology, energy, security, and sports and entertainment. His experience includes advising on transactions ranging from early-stage investments to billion-dollar acquisitions and divestitures. He also serves as general counsel to business clients on matters ranging from formations, commercial contracting, general compliance, and capital raises.
Michael has assisted both start-up and Fortune 500 clients in negotiating and closing early-staged and minority investment transactions, as well as various joint venture transactions.

- Represented a leading provider of customized HVAC solutions in its sale to Daikan Applied Americas, Inc., a worldwide manufacturer of advanced HVAC systems.
- Represented a human capital management Fortune 500 company with multiple acquisitions.
- Completed numerous acquisitions and dispositions of client companies in the food and beverage, healthcare, human capital management, security, technology, energy and sports and entertainment industries ranging in values from $10 million to over $1 billion dollars.
- Assisted start-up clients as well as Fortune 500 company clients in the negotiation and closing of multiple early-stage and minority investment transactions, as well as various joint venture transactions.
- Represented head coach of NFL franchise in negotiations of his employment agreement.
- Represented ownership group in its acquisition of East Coast Hockey League franchise.
- Represented sports development academy in its disposition to private equity platform.
