Brian concentrates his practice in general business law counseling, commercial lending and transactional matters, including venture capital, private equity transactions and mergers and acquisitions.

He has extensive experience in the secured finance area and routinely negotiates credit agreements, participation agreements and intercreditor agreements. In addition, Brian has experience negotiating stock and asset purchase agreements and a variety of other agreements and documents customary in corporate and financial transactions. Brian organizes and forms corporations and partnerships and routinely drafts stockholder, partnership, joint venture and limited liability company agreements, as well as license, outsourcing and distribution agreements.

Brian has counseled clients in a variety of industries including the private and public banking, private equity, technology and e-commerce and financial services industries.
